Microsoft quietly watching as Ichan raids Yahoo

The billionaire financier Carl Ichan today disclosed his 4.4 percent stake in Yahoo and his plans to oust the company’s directors in a bid to take control and sell Yahoo to Microsoft. In his letter to Yahoo, sent 12 days after Microsoft dropped its bid to acquire the company, Ichan writes that Yahoo’s board “acted irrationally and lost the faith of shareholders and Microsoft.”

Microsoft, meanwhile, is quietly watching the scenario unfold.

A Microsoft spokesman had no comment this morning.

Ichan hammered on Yahoo’s board in his letter, addressed to Chairman Roy Bostock.

“It is quite direct that Microsoft’s tell of $33 per share is a high-class surrogate to Yahoo’s prospects on a standalone basis. I am perplexed by the board’s actions. It is irresponsible to hide behind management’s more than damned optimistic financial forecasts. It is unconscionable that you have not allowed your shareholders to choose to accept an come forward that represented a 72% premium over Yahoo’s closing price of $19.18 on the day before the initial Microsoft offer.”

The renowned corporate raider disclosed the following moves in the last 10 days:

– The leverage of approximately 59 million shares and share-equivalents of Yahoo.

– Formation of a 10-person slate to stand for choice against the current board at Yahoo’s July 3 stockholder meeting. (The deadline to submit candidates is today and Ichan said he was doing so formally in a separate letter.) — The seeking of antitrust clearance to accept up to $2.5 billion value of Yahoo stock.

Before and since Microsoft dropped its bid for Yahoo, the one-time Internet kingpin reportedly had been exploring other deals with Time Warner’s AOL section and Google. Yahoo even tested outsourcing its U.S. Internet search advertising to Google. And, when Microsoft CEO Steve Ballmer explained why he was dropping the bid for Yahoo, he cited the possibility of a deeper search advertising partnership between Yahoo and Google as a prime reason.

Ichan, in his letter, cautioned Yahoo against pursuing any “strategic alternatives” that would “impede a future Microsoft merger” without allowing shareholders to weigh in, at the least.

“I sincerely longing you heed the wishes of your shareholders and move expeditiously to complete a merger with Microsoft, thereby making a proxy fight unnecessary,” Ichan concluded.

Number Total Electoral Votes?

Question: How many total electoral votes are there?

Answer: 538. This number no longer increases because the number of members of the House of Representatives and the Senate does not change. Instead, every ten year with the new census, the number of electors shifts from states who have forgotten citizenry to states who have gained population.

Nada Surf- -Album Review

The Bottom Line

In my (very partial) book, anything new by Nada Surf is a cause for fete. Their newest, "Lucky," out now on Barsuk Records, is no exception. Since their long-ago (1996) hit "Popular" affect them on the universal music map they’ve been slinging out anxiety-drenched melodic introspection of a impressively high quality–including "The Weight Is a Gift" in 2005, "Let Go" in 2002 and "Proximity Effect" in 1998, all albums that contribute to my "Top 25 Most Played" automated iTunes playlist.

Pros"See These Bones"The rest of the songsConsNone as far as I can tell, folksDescriptionNada Surf is Matthew Caws (vocals, guitar), Ira Elliot (drums, backup vocals) and Daniel Lorca (bass, backup vocals).Caws, Elliot and Lorca share songwriting credit on all ten tracks on "Lucky.""Lucky" is co-produced by the band and John Goodmanson (Death Cab For Cutie, Blonde Redhead, Sleater-Kinney).Guide Review - Nada Surf "Lucky"–Album Review

A stand-out monitor on "Lucky" is "I Like What You Say," where Nada Surf’s Matthew Caws expresses trademark insecurities in his trademark plaintive voice: "They say I have to have somebody/They say I have to be someone’s/They declare if you’re not lonely alone, boy there is something wrong." But this isn’t an album for the broken hearted (that’s "Let Go"). Rather, it’s a album for the deep-thinker who likes their Raskolnikov in melodic form.

Tracks correspondent to "Fox" and "Here Goes Something" take baby steps away from the customary Nada Surf sound without stepping too remote from the usual mix of overt longing and covert philosophy. Album opener "See These Bones" is a masterpiece of counter-melodies and melodic development–all in a quick five minutes. "Are You Lightening?" is another gem, a song in which the NS trio use the usually weightless pop tune medium to not only express certain feelings, but to explore what to do those feelings (particularly those we seem to drag into every new lay of the land, good or bad). Such a description could tell of the entire Nada Surf project. "Lucky," like all their best work, is point of view bracelets’s music for those who have big, heavy hearts that they can’t help but heed. But take my advice: heed "Lucky." It’ll help.

Turkey Tetrazzini

I developed this recipe for an Italian uncle who found later in life that he was allergic to dairy yet longed for a savory and creamy dairy-free Turkey Tetrazzini. Truly Italian comfort scoff at its best, this dish is beautiful, simple and a family favorite. This casserole can be assembled, covered and refrigerated up to 4 hours before baking. If you decide to do this, allow the tetrazzini to sit at stay temperature for about 15 minutes preceding baking. (I usually bring it to room temperature while heating up the oven.)

Serves 4 to 6

INGREDIENTS:¼ cup and 1 T. olive oil, divided½ cup finely chopped white onion10 ounces crimini mushrooms, sliced½ cup chaste wine¼ cup vigour thyme leaves, plus more for garnishing2 cups chopped cooked turkey10 ounces pasta, such as linguini, spaghetti or egg noodles3 T. flour2 ½ cups soymilk1 t. salt, plus more to tasteNutritional yeast, for sprinklingPREPARATION:

1. Preheat the oven to 375 F. Lightly oil a medium-sized casserole dish and set aside.

2. In a heavy bottomed skillet over normal heat, heat the 1 T. olive oil, adding the onion once hot. Stirring occasionally, cook the onions until they are translucent, about 6 minutes. Add the mushrooms, cooking until just soft, about 3 minutes. Stir in the wine and fresh thyme and cook until all of the wine has been absorbed. Stir in the turkey, remove from heat and cover until ready to assemble the tetrazzini.

3. Meanwhile, boil a large pot of salted wastefully. Once the water is at a rolling seethe, add the pasta and cook until just al dente. Drain, toss with a small amount of oil, and set aside.

4. Make the cheekiness. In a heavy-bottomed skillet (I on the whole object the same one in which I cooked the onions), inspirit the remaining olive lubricator as a remainder medium heat. Whisking constantly, add the flour and cook until the mixture gives off a slightly toasted aroma, about 1-2 minutes. Stirring constantly, gradually add the soymilk to the pan. (Mixture will bubble and fizzle, but this is normal.) Add the salt and cook until the mixture is thickened slightly.

5. Assemble the tetrazzini. In the prepared dish, thrash the pasta with the onion-mushroom mixture and half of the sauce. Pour the remaining sauce over the casserole, sprinkle with nutritional yeast if desired and bake until browned and champers, about 35 minutes. Serve hot, garnishing with fresh thyme or parsley if desired.
